| About the Change Registered Office kit
This minute is a record of the circulating resolution by all the directors, agreeing to a change of address of the office (address previously registered with ASIC).
The Australian Security and Investments Commission (“ASIC”) requires an Australian company to keep this record under s142, in particular s142(2) of the Corporations Act 2001.
A company must lodge notice of a change of address of its registered office with ASIC not later than 28 days after the date on which the change occurs. The notice must be in the prescribed form (You need to check the ASIC forms for change of address. It varies from time to time).
Please note: If the company is not to be the occupier of premises at the address of its new registered office, the notice must state that the occupier has consented to the address being specified in the notice and has not withdrawn that consent (see section 100 of the Corporations Act 2001). Strict penalty applies if a company fails to inform the ASIC. |
